Welcome to Forgify Pty Ltd. These Terms and Conditions ("Terms") govern your access to and use of our website, our software-as-a-service (SaaS) products (including Paddock King), and any related services (collectively, the "Services"). The Services are operated by Forgify Pty Ltd ("Forgify", "we", "us", or "our"), ABN 45 694 764 184.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

These Terms apply to all visitors, users, and others who access or use the Services.

1. INTERPRETATION & DEFINITIONS

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

  • "Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Forgify Pty Ltd, ABN 45 694 764 184, 80 Middle Rd, Pearcedale, Victoria 3912, Australia.
  • "Services" refers to the software applications, websites, and SaaS products provided by the Company, including but not limited to Paddock King.
  • "User" or "You" means any individual or entity accessing or using the Services.
  • "User Data" means all data, information, and content uploaded, submitted, or stored within the Services by the User.

2. INTELLECTUAL PROPERTY RIGHTS

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, graphics, logos, and the design, selection, and arrangement thereof) are owned by Forgify Pty Ltd, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Services, except for the limited right to use the Services in accordance with these Terms.

3. USE OF THE SERVICES

We grant you a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes, strictly in accordance with these Terms.

You may use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or network.

4. USER ACCOUNTS & RESPONSIBILITIES

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in the immediate termination of your account on the Services.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any security breach or unauthorized use of your account.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old.

5. USER DATA & PRIVACY

You retain all ownership rights to your User Data. By submitting User Data to the Services, you grant Forgify a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Data for the sole purpose of operating, maintaining, and improving the Services for you.

You are solely responsible for the accuracy, quality, and legality of the User Data you upload. For more information on how we handle your data, please review our Privacy Policy.

6. FEES, PAYMENTS & SUBSCRIPTIONS

Some of the Services may be subject to fees, subscriptions, or other charges. If you elect to use paid features, you agree to the pricing and payment terms presented to you at the time of purchase.

Payments are typically processed by third-party payment processors (e.g., Stripe). We do not store your full credit card information on our servers. If any payment is returned unpaid or disputed, we reserve the right to suspend your access to the Services until payment is resolved.

7. PROHIBITED ACTIVITIES

You agree not to use the Services to:

  • Upload or transmit viruses, malware, or any other type of malicious code.
  • Attempt to gain unauthorized access to, interfere with, or disrupt the Services, our systems, or the systems of other users.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the software underlying the Services.
  • Use the Services to store or transmit unlawful, infringing, or harmful content.
  • Use the Services in any way that violates applicable Australian or international laws.

8. THIRD-PARTY SERVICES & INTEGRATIONS

The Services may integrate with or contain links to third-party websites, applications, or services (e.g., Google Maps, payment processors). We do not control these third parties and are not responsible for their content, functionality, or privacy practices. Your interactions with third-party services are solely between you and the third party.

9. DISCLAIMER OF WARRANTIES

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Forgify Pty Ltd disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that the results obtained from the use of the Services will be accurate or reliable. You use the Services strictly at your own risk.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall Forgify Pty Ltd, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of, or inability to use, the Services.

Because the Services are utilized for the management of agricultural and equine operations, you acknowledge that software errors or downtime could result in real-world operational impacts. You agree that Forgify is not liable for any real-world damages, including injury, loss of livestock, or property damage, arising from the use or failure of the Services.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Forgify Pty Ltd and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your misuse of the Services.

12. TERMINATION & SUSPENSION

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. We recommend regularly exporting and backing up your User Data, as we may delete your User Data within a reasonable period following the termination of your account.

13. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law provisions.

You irrevocably submit to the exclusive jurisdiction of the courts located in Victoria, Australia, for the resolution of any disputes arising out of or relating to these Terms or the Services.

14. CHANGES TO THESE TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
